1. Agreement
By accessing our website, joining the waitlist, using Padea in WhatsApp (including group chats and direct messages), or using our web application for coaches and administrators, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the service.
If you are using Padea on behalf of a club, business, or other organisation, you confirm that you have authority to bind that organisation, and "you" includes that organisation where the context requires.
Consumer rights: If you are a consumer, nothing in these Terms affects your statutory rights under UK law, including under the Consumer Rights Act 2015, where they apply.
2. The service
Padea provides tools to help organise padel play, including (depending on configuration and rollout):
- WhatsApp-based assistant behaviour in your groups and DMs: event announcements, RSVP tracking (for example replying "in" or "out"), reminders, and conversational help.
- Assistance with finding or coordinating court time and availability where integrations exist — final bookings remain subject to third-party venues, platforms, and your own confirmation.
- Group memory and profiling features to improve suggestions (for example who often plays together or preferred times), within the limits described in our Privacy Policy.
- Matchmaking or match-room features to help players find games.
- A web dashboard for coaches or admins to manage groups, events, and related settings.
- AI-generated responses and automations to operate the above features.
Features may be labelled beta or preview. We may change, suspend, or discontinue any part of the service with reasonable notice where practicable.
3. Eligibility and accounts
- You must be at least 16 years old to use Padea.
- WhatsApp use requires a valid WhatsApp account and compliance with WhatsApp's terms and policies.
- Web-app access requires completing any authentication steps we specify (for example through our identity provider).
- You are responsible for the accuracy of information you provide and for keeping coach credentials confidential.
4. Consent in WhatsApp
Where we require it, we may ask you to confirm acceptance of these Terms and our Privacy Policy before continuing to message the bot (for example by replying "YES"). We may record the time and version of the terms you accepted. If we publish material updates, we may ask you to accept again before continued use.
5. Acceptable use
You agree not to:
- Use Padea for unlawful, harassing, discriminatory, or harmful purposes, or to send spam or malware.
- Attempt to probe, disrupt, or bypass security, or to access data or systems you are not authorised to use.
- Reverse engineer or scrape the service except where applicable law forbids this restriction.
- Misrepresent your identity or affiliation, or use the service in a way that infringes others' rights.
- Rely on Padea as the sole record for safety-critical or legally binding obligations without independent verification.
6. Third parties
Padea relies on third parties (including WhatsApp, cloud hosts, AI providers, padel venues, and booking systems). Their availability, rules, and accuracy are outside our control. Court bookings, payments, and venue policies are between you and the relevant venue or platform unless we expressly state otherwise in writing.
7. Intellectual property
We and our licensors own the software, branding, and content we provide (excluding your content and third-party materials). We grant you a limited, revocable, non-exclusive licence to use the service for its intended purpose. You retain rights in messages and data you submit; you grant us a licence to host, process, and display that content as needed to operate and improve the service, consistent with our Privacy Policy.
8. Disclaimers
The service is provided on an "as is" and "as available" basis. AI outputs may be incorrect or incomplete. You remain responsible for verifying important details (times, venues, player counts, and payments). We disclaim all implied warranties to the fullest extent permitted by law.
9. Limitation of liability
To the maximum extent permitted by applicable law (including where you are a consumer), we are not liable for any indirect, consequential, or special loss, loss of profit, loss of goodwill, or missed games, except where such exclusion is not allowed by law.
Our total aggregate liability arising out of or relating to the service in any twelve-month period is limited to the greater of (a) the fees you paid us for the service in that period, or (b) one hundred British pounds (£100), except that nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited under UK law.
10. Indemnity
You will indemnify and hold us harmless against reasonable claims and losses arising from your misuse of the service, your breach of these Terms, or your violation of third-party rights, except to the extent caused by our breach or negligence.
11. Suspension and termination
We may suspend or terminate access if you breach these Terms, create risk or legal exposure, or if we cease offering the service. You may stop using Padea at any time. Provisions that by nature should survive (including intellectual property, disclaimers, liability limits where enforceable, and governing law) will survive termination.
12. Opt-out and data deletion
You may request to stop processing or delete your data as described in our Privacy Policy,
including by using in-product instructions where available (for example STOP or "delete my data"
to our WhatsApp bot). Deletion may be subject to legal retention requirements.
13. Changes
We may update these Terms. We will post the new version on this page and change the effective date. Material changes may require renewed acceptance in WhatsApp or email notice where appropriate.
14. Governing law and jurisdiction
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, subject to any mandatory rights you have as a consumer to bring proceedings in your home jurisdiction.
